1. Contract Formation

A contract shall only come into existence once an order has been accepted by St Helens Plant Limited.

All contracts are governed solely by these Terms of Sale. Any alternative terms submitted by a purchaser shall have no effect unless expressly agreed in writing by the Company.

Goods supplied from stock remain subject to availability at the time of dispatch.

2. Quotations & Pricing

Quotations, estimates and advertisements are invitations to treat only and do not constitute a binding offer.

Prices quoted are ex-works unless otherwise stated and may be adjusted to reflect price changes prior to dispatch.

Special packing, transport, insurance or bespoke delivery arrangements may incur additional charges.

3. Delivery

Every reasonable effort will be made to meet delivery dates; however, delivery dates are estimates only and time shall not be of the essence unless specifically agreed in writing.

If the purchaser refuses or fails to accept delivery, the Company reserves the right to invoice immediately, store the goods at the purchaser's risk and recover any additional costs incurred.

Goods shall be deemed accepted unless written notice of shortages, damage or defects is received within seven working days of delivery.

4. Risk In Goods

Risk passes to the purchaser when goods leave the Company's premises unless otherwise agreed within the contract.

Claims relating to damage or loss in transit must be made within the timescales specified by the Company and any carrier involved.

5. Retention of Title

Legal ownership of all goods supplied shall remain with St Helens Plant Limited until payment in full has been received for:

• The goods supplied.
• Any other goods supplied by the Company.
• Any monies owed by the purchaser.

Until ownership transfers, goods must remain identifiable as the property of St Helens Plant Limited.

The Company reserves the right to recover goods where payment remains outstanding.

6. Payment Terms

Payment for goods shall be due within ten days unless otherwise agreed in writing.

• Invoices must be paid without deduction or set-off.
• Late accounts may incur interest at 2% per month.
• Further deliveries may be suspended until payment is received.
• The Company may terminate contracts where payment obligations are not met.

7. Customer Default

Where a purchaser ceases trading, becomes insolvent, enters administration, liquidation or bankruptcy, St Helens Plant Limited may terminate the contract and recover all outstanding sums.

8. Force Majeure

The Company shall not be liable for delays or failures caused by events beyond its reasonable control, including but not limited to weather conditions, industrial action, shortages of materials or contractor delays.

9. Warranty

Subject to the conditions of sale, the Company may elect to:

• Repair defective goods.
• Replace defective goods.
• Refund the purchase price.

Warranty claims must be made within three months from dispatch of the goods.

The Company shall not be liable for indirect, consequential or economic losses except where prohibited by law.

10. Intellectual Property

Supply of goods does not grant permission to use any trademarks, patents or intellectual property belonging to St Helens Plant Limited without prior written consent.

11. Health & Safety

Customers agree to follow all information, instructions and safety guidance supplied by the Company regarding the use, maintenance, storage, dismantling and disposal of goods.

12. Notices

Any notice under these Terms of Sale must be provided in writing and may be delivered by hand, post or electronic communication where accepted by both parties.

13. Severability

If any provision of these Terms of Sale is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

14. Governing Law

These Terms of Sale shall be governed by and construed in accordance with the laws of England and Wales.

Any dispute arising from the supply of goods shall be subject to the exclusive jurisdiction of the Courts of England and Wales.
